2. Website Access & Acceptable Use

The Greydot website is created to provide information about our services, expertise, capabilities, and approach. Users agree to use this website only for lawful purposes. You must not attempt unauthorized access to website systems, introduce viruses, malware, or harmful code, copy website content without permission, misuse brand assets or intellectual property, use website information for fraudulent activities, or impersonate Greydot or represent false associations. Greydot reserves the right to restrict access where misuse is identified.

3. Intellectual Property Rights

All intellectual property displayed on the Greydot website belongs to Greydot or respective licensed owners. This includes the brand name, logo, website design, text content, graphics, images, videos, illustrations, creative concepts, frameworks, methodologies, design systems, and proprietary processes. No content may be copied, modified, reproduced, distributed, published, or commercially used without written permission.

4. Service Engagement & Agreements

Every client engagement is governed by mutually agreed documentation, including proposals, quotations, statements of work, service agreements, contracts, purchase orders, or project briefs. These documents define deliverables, timelines, fees, payment schedules, revision limits, ownership rights, usage permissions, and responsibilities. In case of conflict, the signed agreement between Greydot and the client shall take precedence.

5. Project Discovery & Requirement Gathering

Before project commencement, Greydot may conduct discovery discussions to understand business objectives, target audience, industry landscape, existing challenges, brand expectations, technical requirements, and communication goals. The information collected during discovery helps develop an effective strategy and execution plan.

6. Client Responsibilities

Clients agree to provide accurate, complete, and timely information required for project execution. Client responsibilities include providing accurate business information, sharing required brand assets, providing timely approvals, reviewing deliverables, providing constructive feedback, and ensuring legal ownership of materials provided. Greydot shall not be responsible for delays caused by incomplete information, delayed responses, or unavailable approvals.

7. Project Scope Management

Greydot executes projects according to the approved scope. Any request outside the original scope may be treated as an additional requirement (such as additional pages, design concepts, content requirements, revisions, or production assets) and may require revised timelines, additional fees, or updated agreements.

8. Fees, Payments & Commercial Terms

Project fees are determined based on complexity, scope, resources, timeline, expertise, and deliverables. Payment schedules are communicated before project initiation. Unless otherwise agreed, advance payment is required before commencement, milestone payments must be completed as agreed, and final files or ownership transfer depends on complete payment. Delayed payments may impact delivery schedules.

9. Refund & Cancellation Policy

Due to the customized nature of creative, digital, and consulting services, advance payments may be non-refundable once work has commenced. Costs incurred before cancellation remain payable, and completed milestones remain chargeable. Refund considerations will depend on project status and agreement terms. Cancellation requests must be communicated formally.

10. Creative Process & Revisions

Creative development involves collaboration and refinement. The revision process may include concept reviews, design feedback, content refinement, and technical adjustments. Revision limits will be defined in the project agreement. Major strategic changes after approval may be considered a new scope of work.

11. Content & Creative Ownership

Ownership rights for final deliverables are transferred according to the agreed terms after complete payment. Unless specifically transferred, Greydot retains ownership of internal processes, working files, creative methodologies, unused concepts, templates, frameworks, and proprietary tools. Editable source files may be provided only when included in the agreed scope.

12. Website & Digital Technology Services

For digital projects, Greydot is responsible for delivering agreed solutions according to project specifications. However, Greydot is not responsible for third-party hosting failures, domain-related issues, platform policy changes, external software limitations, security issues caused by third-party systems, or user-generated content problems. Clients are responsible for maintaining valid licenses, subscriptions, and accounts where applicable.

13. Content Production Terms

For photography, videography, and production projects, project execution depends on location availability, weather conditions, talent availability, and permissions. Production schedules are subject to adjustment, and additional production requirements may involve additional costs. Final creative output may vary due to practical production conditions.

14. Design Services Terms

Design deliverables are created based on approved creative direction. Clients are responsible for providing accurate information, ensuring trademarks and legal permissions, and reviewing final designs. Greydot is not responsible for legal disputes arising from client-provided materials.

15. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive information, including business strategies, financial information, customer data, product information, unreleased concepts, and internal documents. Confidential information will only be used for legitimate project purposes.

16. Portfolio & Marketing Rights

Unless restricted through a written confidentiality agreement, Greydot may showcase completed work through website portfolios, case studies, presentations, awards submissions, and marketing materials. Confidential projects will only be displayed with appropriate approval.

17. Third-Party Tools & Services

Projects may involve third-party services including hosting providers, software platforms, plugins, stock libraries, fonts, analytics tools, and technology platforms. Greydot does not control third-party services and is not responsible for external changes or interruptions.

18. Limitation of Liability

Greydot provides professional services with reasonable care and expertise. However, Greydot shall not be responsible for indirect damages, loss of business opportunities, loss of revenue, market performance, customer behaviour, or external service failures. Business outcomes depend on several external factors beyond creative execution.

19. Force Majeure

Greydot shall not be responsible for delays caused by circumstances beyond reasonable control, including natural disasters, government restrictions, internet failures, technical disruptions, emergencies, and third-party failures.

20. Governing Law

These terms shall be governed by the laws applicable in India. Any disputes shall be subject to applicable jurisdiction as agreed between Greydot and the client.
